BlackCrownVxJ.LLC — Legal Documents (Starter Drafts)

⚠ DRAFT FOR ATTORNEY REVIEW — NOT LEGAL ADVICE. These are starter templates prepared to give you a head start and a structure to hand to a licensed attorney. They are not legal advice and are not guaranteed to be complete, current, or sufficient for your business, state, or situation. Trading-information and member-access businesses can carry specific regulatory exposure (for futures, this may include questions about Commodity Trading Advisor (CTA) registration with the CFTC/NFA). Have a qualified attorney review and adapt all of this before you publish or rely on it.

Replace every [BRACKETED] placeholder. Set an effective date. Confirm your state of formation and governing law with counsel.

1. Terms of Service

1.1 Acceptance

By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an entity, you represent that you are authorized to bind that entity.

1.2 Description of the Service

The Service aggregates third-party news and publicly available social-media content and uses automated tools, including artificial intelligence, to produce summaries, sentiment indications, and possible market-impact context. The Service is an informational and educational tool only. It does not execute trades, hold customer funds, or provide personalized investment recommendations.

1.3 Eligibility

You must be at least 18 years old and able to form a binding contract. The Service is not directed to anyone under 18.

1.4 Accounts and Membership

1.5 Subscriptions, Fees, and Billing (include if paid)

1.6 No Financial Advice

The Service, including all summaries, scores, indicators, and "impact" or "direction" labels, is provided for informational and educational purposes only and is not investment, financial, legal, tax, or trading advice, and not an offer, solicitation, or recommendation to buy or sell any security, futures contract, derivative, or other instrument. We are not your broker, advisor, or fiduciary. You are solely responsible for evaluating the information and for your own decisions.

1.7 Acceptable Use

You agree not to: - scrape, harvest, copy, redistribute, resell, or republish the Service's content except as expressly permitted; - reverse engineer, decompile, or attempt to extract source code or underlying data feeds; - circumvent access controls, rate limits, or security; - use the Service to violate any law, exchange rule, data-provider term, or third-party right; - introduce malware or interfere with the Service's operation.

1.8 Intellectual Property

The Service, its design, software, the Korvus and BlackCrownVxJ names and crown logo, and Company-generated summaries and compilations are owned by the Company or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Service for your personal, internal use during your active membership. Third-party news and social content remain the property of their respective owners.

1.8A Community Server (Eclipse-X) and User Content

Member discussion and comments take place in our designated third-party community server, "Eclipse-X," hosted on Discord. Your use of that server is also governed by Discord's own Terms of Service and Community Guidelines, and by any community rules we post there. You are solely responsible for content you post. By posting, you grant the Company a non-exclusive, royalty-free license to display and use that content in connection with operating the community. We may moderate, remove content, or remove members at our discretion. Comments and opinions posted by members are their own and are not advice or recommendations from, or endorsed by, the Company.

1.9 Third-Party Data and Member-Supplied Market Data

The Service relies on third-party sources (news APIs, social platforms, and others). We do not control and are not responsible for the accuracy, availability, or terms of those sources. Live market price data, where shown, is supplied by or through each member's own data feed or broker under that member's own license; the Company does not redistribute exchange market data. Your use of any third-party feed is governed by that provider's terms.

1.10 Disclaimers ("AS IS")

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any information is accurate, complete, or current.

1.11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, OR LOSS OF DATA, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR RELIANCE ON ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE [12] MONTHS BEFORE THE CLAIM OR (B) [USD $100]. Some jurisdictions do not allow certain limitations; some may not apply to you.

1.12 Assumption of Risk

You acknowledge the Risk Disclosure (Section 3) and accept that all trading and investment decisions, and all resulting gains or losses, are entirely your own responsibility.

1.13 Indemnification

You agree to indemnify and hold harmless the Company and its owners, members, managers, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

1.14 Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive (IP, disclaimers, limitation of liability, indemnification, governing law) survive termination.

1.15 Changes

We may modify the Service or these Terms. Material changes will be posted with an updated effective date; continued use after changes constitutes acceptance.

1.16 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. [CHOOSE: The parties agree to resolve disputes by binding arbitration on an individual basis and waive class actions — have Texas counsel draft and confirm enforceability] / [or: exclusive jurisdiction in the state and federal courts located in [COUNTY], Texas].

1.17 Miscellaneous

If any provision is unenforceable, the rest remains in effect. These Terms, with the Privacy Policy and Risk Disclosure, are the entire agreement between you and the Company regarding the Service.

3. Risk Disclosure and Disclaimer

3.1 Not Financial Advice

All content provided by BlackCrownVxJ.LLC — including news summaries, social-media aggregations, sentiment or "impact" indications, divergence labels, and any other output — is for informational and educational purposes only and is not investment, financial, legal, or tax advice and not a recommendation or solicitation to buy or sell any instrument.

3.2 Risk of Trading Futures and Leveraged Products

Trading futures, options, and other leveraged products involves substantial risk of loss and is not suitable for every investor. Leverage can work against you as well as for you, and you may lose some or all of your funds, and potentially more than your initial deposit. Only risk capital you can afford to lose should be used.

3.3 No Guarantee of Accuracy or Timeliness

Information is aggregated from third-party news outlets and public social media and may be inaccurate, incomplete, delayed, out of context, manipulated, or false. AI-generated summaries and scores may contain errors or omissions and are not a substitute for your own research and verification. We do not guarantee the accuracy, completeness, or timeliness of any content.

3.4 Social-Media and Third-Party Content

Social-media content reflects the views of third parties, not the Company, and is often unverified. Aggregation or summarization of such content is not an endorsement of its accuracy.

3.5 No Performance Representations

The Service does not promise or imply any trading result. Where any hypothetical or illustrative scenario appears, it has inherent limitations and does not represent actual trading; no representation is made that any account will achieve similar results. (If you ever display performance, work with counsel on CFTC Rule 4.41-style hypothetical-performance disclosures.)

3.6 Your Sole Responsibility

You are solely responsible for your own trading and investment decisions and for any resulting outcomes. You should consult a licensed financial professional, broker, and/or attorney before making decisions. The Company and its owners, members, and affiliates accept no liability for any loss or damage arising from use of the Service or reliance on its content.

3.7 No Advisory Relationship

Use of the Service does not create any advisory, fiduciary, brokerage, or agency relationship between you and the Company.

End of starter drafts. Next step: have a licensed attorney (ideally one familiar with financial-information products and CFTC/NFA rules for futures-related services) review and finalize these, and advise on whether your specific feature set and membership model trigger any registration requirements.
